Terms of Service

These terms ("Terms") govern your use of the NumaSim simulator at https://app.numasim.com, the landing site at https://numasim.com, this documentation site at https://docs.numasim.com, and any other software, services, or content we make available under the NumaSim name (together, the "Service").
NumaSim is provided by the NumaSim project maintainers ("we", "us"). For contact information see §12.
NumaSim is in early development. By using it you agree to these Terms. If you do not agree, do not use the Service.
1. Your account
You may use the Service anonymously (no sign-in) for most features, or you may create an account by signing in with Google or with an email address and password.
You are responsible for:
- Keeping your sign-in credentials confidential.
- All activity that happens under your account.
- Notifying us promptly if you believe your account has been compromised: [email protected].
You may close your account at any time by emailing us; see the Privacy Policy §7 for what happens to your data on deletion.
2. Your content
NumaSim lets you build circuits, write notes inside the app, and (if the chat assistant is enabled) interact with an AI assistant. Anything you create — circuit files, parameter values, prompt text, generated text — is your content. You retain all rights to it. Today, NumaSim does not upload circuits you save to our servers; files are written through your browser to your own device.
You grant us a limited, non-exclusive permission to process your content only to the extent necessary to operate the Service for you (for example, briefly holding a file in memory while you edit it). We do not use your content to train models, sell it, or share it with third parties beyond what is required to operate the Service.
3. Intellectual property
All right, title, and interest in the Service — including the NumaSim software, source code, schematics, component library, visual design, documentation, name, and logo — are and remain the exclusive property of the NumaSim maintainers. These Terms do not transfer any ownership in the Service to you.
We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms. All rights not expressly granted are reserved.
Nothing in this section affects your ownership of your content as described in §2.
4. Acceptable use
You agree not to:
- Use the Service for any illegal purpose, or to violate anyone's rights.
- Interfere with or disrupt the Service or the infrastructure it runs on (e.g. abusive automation, denial-of-service attempts, exploitation of bugs to gain unauthorized access).
- Reverse-engineer, decompile, or attempt to extract any private credentials or signing keys belonging to the Service.
- Copy, modify, redistribute, or create derivative works of the Service or any part of its code, design, or branding, except as expressly permitted by us in writing.
- Misrepresent yourself, impersonate another person, or sign in under someone else's identity.
We may suspend or terminate access to the Service for any account that we believe is violating these rules.
5. The Service is provided "as is"
NumaSim is pre-release software provided as-is and as-available, without warranties of any kind, whether express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, accuracy of results, or non-infringement.
The Service performs numerical simulation of circuits. Simulation results are approximations and may contain bugs, numerical errors, or limitations that are not obvious. You must not rely on NumaSim for any safety-critical, life-critical, or production engineering decision. Always validate critical results against an independent source.
We do not guarantee that the Service will be available, error-free, secure, or that any defect will be corrected. We may modify, suspend, or discontinue the Service (in whole or in part) at any time without notice.
6. Limitation of liability
To the maximum extent permitted by applicable law, in no event will the NumaSim project maintainers be liable to you for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or opportunities arising out of or in connection with your use of the Service — even if we have been advised of the possibility of such damages.
7. Third-party services
The Service relies on third-party providers (Google, Supabase, Cloudflare; see the Privacy Policy §3). Your use of the Service is also subject to those providers' own terms. We are not responsible for outages, errors, or policy changes on their end.
8. Indemnification
You agree to defend, indemnify, and hold the NumaSim project maintainers harmless from any third-party claims, losses, or expenses (including reasonable legal fees) arising out of your breach of these Terms, your content, or your misuse of the Service.
9. Termination
These Terms remain in effect for as long as you use the Service. We may suspend or terminate your access at any time for any reason, including (without limitation) for violations of §4. Sections intended by their nature to survive termination — for example §2 (your content rights), §3 (intellectual property), §5 (no warranty), §6 (liability cap), §8 (indemnification), and §10 (governing law and disputes) — survive.
10. Governing law and disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without reference to their conflict-of-laws rules. Any dispute that we cannot resolve informally will be brought in the courts of the Province of Ontario. If you are located outside Canada, mandatory consumer-protection laws of your country of residence may still apply notwithstanding this clause.
11. Changes to these Terms
We may revise these Terms as NumaSim evolves. When we do, we will update the date at the top of this page. Material changes will be announced through a reasonable means (e.g. a notice in the app or on this page) before they take effect. Your continued use of the Service after a change means you accept the revised Terms.
